These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and CentricQ ("Company", "we", "us", "our"), a company incorporated and operating under the laws of the United Arab Emirates, with its principal place of business in the UAE.
By accessing, registering for, or using the CentricQ platform at centricq.com ("Platform" or "Service"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or legal entity, you represent and warrant that you have the authority to bind that entity, and all references to "you" include that entity.
If you do not agree to any part of these Terms, you must cease use of the Platform immediately.
We may amend these Terms at any time. We will give not less than 30 days prior written notice of material amendments by email to your registered address and by posting a prominent notice on the Platform. Your continued use of the Service after the effective date of any amendment constitutes your acceptance. If you do not accept a material amendment, you may close your account before it takes effect without penalty, and we will refund any unused pro-rata portion of a prepaid subscription.
"Platform" or "Service" means the CentricQ interview preparation application accessible at centricq.com and any associated mobile applications.
"Content" means all question banks, study guides, chapter materials, AI-generated feedback, completion certificates, and other materials made available through the Platform.
"User Content" means any data, text, audio recordings, answers, or other material that you create, submit, or transmit through the Platform.
"Subscription" means a paid plan that grants enhanced access to Platform features for a defined period, as set out in Section 5.
"JD Prep" means the job-description-based practice session generation feature.
"Wallet" means the in-platform credit balance earned through the Referral Programme or promotions.
"Certificate" means the digital completion credential issued upon meeting the criteria set out in Section 3(e).
"Company Account" means an employer-facing account type used to administer candidate assessments.
"AI Providers" means third-party artificial intelligence service providers used by CentricQ, including Anthropic (Claude) and OpenAI (Whisper).
"UAE PDPL" means UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data and its implementing regulations.
CentricQ provides the following features, subject to applicable subscription tier and availability:
(a) Question Banks: Role-specific interview preparation question banks containing up to 1,000 questions per role, delivered in three practice formats: Multiple Choice Questions (MCQ), Written Answer, and Spoken Answer (audio-based, AI-transcribed practice).
(b) AI Feedback: Each submitted answer is evaluated in real time by an AI language model (Anthropic Claude). The User receives a numerical score, written feedback, and tailored improvement suggestions. This constitutes educational content only and is not professional advice of any kind.
(c) Study Guides: Structured, chapter-based learning materials progressing from Beginner to Advanced level for selected roles. Chapter 1 of every study guide is accessible to all registered users at no charge.
(d) JD Prep (Job Description Preparation): Users may submit a job description to generate a bespoke practice set of 5 chapters × 25 questions (125 questions) tailored to the specific role and employer described. The first 2 JD Prep sessions per account are provided at no charge; subsequent sessions are charged at the rate displayed at checkout.
(e) Completion Certificates: A digital completion certificate is issued when a User completes all required sub-chapters within a subscribed role. Certificates record course completion only and are not professionally accredited qualifications. They are issued for personal use and must not be misrepresented to any employer or institution as an accredited, regulated, or externally verified credential.
(f) Wallet and Referral Programme: Users may earn credits by referring new paying customers. Credits may be applied at checkout or withdrawn to a designated PayPal account, subject to the conditions in Section 8.
(g) Company Portal: A separate account type enabling employers to create AI-evaluated assessments for candidates. Additional terms apply to Company Accounts, as set out in Section 10.
We reserve the right to modify, suspend, or permanently discontinue any feature or the entire Service, at any time, with reasonable advance notice. In the event of permanent discontinuation of a feature for which you have a current paid subscription, we will provide a pro-rata refund of any prepaid and unused subscription fees attributable to that feature.
Minimum Age: You must be at least 16 years of age to create an account and use the Service. In jurisdictions where the minimum age for digital services or for consent to data processing is higher than 16, that higher minimum applies. By registering, you represent and warrant that you meet the applicable minimum age requirement in your jurisdiction.
Accuracy of Information: You must provide accurate, complete, and current registration information. You undertake to promptly update your information if any details change. Providing false, misleading, or incomplete information is a material breach of these Terms and may result in immediate account termination.
One Account Per Person: Each individual may hold only one personal account. You may not create or operate multiple accounts. We reserve the right to merge or terminate duplicate accounts without notice.
Account Security: You are solely responsible for maintaining the strict confidentiality of your login credentials and for all activities conducted under your account, whether or not authorised by you. You must notify us immediately at support@centricq.com if you become aware of any actual or suspected unauthorised use of or access to your account.
Account Refusal: We reserve the right, at our sole discretion, to decline to register any account, or to suspend or terminate any existing account, where we have reasonable grounds to do so, including for breach of these Terms or applicable law.
The following plans are offered (prices in USD unless otherwise stated at checkout):
Free Tier: Access to 200 questions per role at no charge, with no requirement to provide payment details. Available to all registered users on an ongoing basis.
Starter Plan — USD $10.00 per period: Full access to one (1) role of the User's choice (1,000 questions with AI feedback) and the complete study guide for that role. Valid for 30 calendar days from the date of purchase.
Full Access Plan — USD $19.99 per period: Full access to any five (5) roles of the User's choice and their corresponding study guides. Roles are activated progressively as the User visits them. Valid for 30 calendar days from the date of purchase.
Job Seeker Plan — USD $34.99 per period: Unlimited access to all available roles and all study guides on the Platform. Includes 15 JD Prep sessions per calendar month. Valid for 30 calendar days from the date of purchase.
JD Prep Sessions: The first 2 JD Prep sessions are complimentary per account. Each additional session is charged at the per-session rate displayed at checkout at the time of purchase, which may be revised by us from time to time.
UAE Value Added Tax (VAT): CentricQ is subject to UAE Federal Decree-Law No. 8 of 2017 on Value Added Tax. Where applicable, UAE VAT at the current rate of 5% will be added to applicable supplies at checkout. VAT invoices are available on request at support@centricq.com.
International Taxes: Where required by the laws of your jurisdiction, applicable local taxes (including VAT, GST, or equivalent indirect taxes) will be calculated based on your billing address and added to your checkout total. You are solely responsible for any taxes applicable to you that we are not required to collect.
Price Changes: We may revise subscription prices upon not less than 30 days written notice. Any revision applies to new purchases made after the effective date; it does not apply to a current active subscription period already paid for.
Coupon and Promotional Codes: Discount codes are subject to the specific conditions attached to each code (including single-use restrictions, expiry dates, and eligible plans). Codes have no cash redemption value and may not be combined with other promotions unless expressly stated.
Payment Processor: All payments are processed exclusively through PayPal. By completing a purchase, you authorise PayPal to charge your selected payment instrument for the applicable amount. CentricQ does not collect, process, store, or have access to your payment card details at any time.
Subscription Term: All current subscriptions are for a single 30-day period. Subscriptions do not automatically renew unless we expressly notify you otherwise and you consent to auto-renewal. We will send a reminder email before your subscription expires.
Post-Expiry Access: Upon expiry, your account reverts to the Free Tier. Your full progress history, score records, and completed certificates remain accessible in your account. Premium question access and study guide chapters beyond Chapter 1 are suspended until a new subscription is purchased.
Wallet Credits at Checkout: Wallet credits may be applied to reduce the payable amount at checkout. The minimum credit application is USD $0.01. Credits are not redeemable for cash at checkout; withdrawal is available only through the process described in Section 8.
Failed Payments: We are not responsible for failed payments resulting from issues with your payment instrument or PayPal account. Access will not be granted or maintained for orders not successfully settled.
No Auto-Renewal Cancellation Required: As subscriptions do not auto-renew by default, no cancellation action is required to prevent a recurring charge. Access simply expires at the end of the paid period.
General Satisfaction Refund (All Users): If you are dissatisfied with your purchase for any reason, contact us at support@centricq.com within 7 days of payment. We will issue a full refund to your original payment method provided that you have made minimal or no use of the premium subscription. Each request is assessed fairly on its facts.
EU and EEA Consumer Statutory Right of Withdrawal: Under EU Directive 2011/83/EU (as implemented in relevant member states), consumers habitually resident in the EU/EEA have a 14-day statutory right of withdrawal from the date of purchase. This right is extinguished when you begin accessing premium content (e.g., unlocking paid questions), because performance of the digital content contract has begun at your express request. We will obtain your express acknowledgement of this waiver at checkout before charging you.
UK Consumer Statutory Right: Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, UK consumers have a 14-day cooling-off period, subject to the same early commencement condition described above.
UAE Consumer Protection: In accordance with UAE Federal Law No. 15 of 2020 on Consumer Protection and its Executive Regulations, UAE-resident consumers who are subject to UAE consumer protection law retain applicable statutory rights that cannot be waived by contract.
JD Prep Sessions — Non-Refundable: JD Prep sessions that have been generated and delivered are not eligible for refund, as the digital content is immediately and fully consumed upon generation. This does not affect any statutory cooling-off rights you may have before accessing the generated content.
Abuse of Refund Policy: We reserve the right to refuse refund requests where we reasonably conclude the policy is being abused (including repeated refund requests following high content consumption). This does not affect your statutory rights.
Earning Credits: Registered users earn wallet credits for each new user who registers via their unique referral link and completes a qualifying paid purchase. The credit amount per qualifying referral is displayed on the Referral Programme page within the Platform and may be revised by us upon 30 days notice to participants.
Permitted Uses: Credits may be applied at checkout to reduce the purchase price of any eligible plan, or withdrawn to a verified PayPal account subject to the conditions below.
Non-Transferability: Wallet credits are personal to your account. They may not be transferred to another account, gifted, sold, or assigned, and have no monetary value outside of the Platform except through the withdrawal process.
Withdrawal: Accrued credits may be withdrawn to a PayPal account in your name, subject to the minimum withdrawal threshold displayed on the Wallet page. Withdrawal requests are processed within 14 business days. We reserve the right to require identity verification before processing a withdrawal, in compliance with applicable UAE anti-money laundering and know-your-customer obligations.
Fraud and Programme Abuse: Credits obtained through fraudulent activity — including self-referral, artificial creation of referral accounts, or circumvention of the Programme mechanics — will be voided without notice. Accounts engaged in Programme fraud may be suspended or permanently terminated without refund.
Programme Modification or Termination: We may modify or terminate the Referral Programme at any time on 30 days notice to active participants. Credits earned and not yet redeemed before the effective date of termination will remain valid for 90 days following that date, after which they will expire.
User Warranty on Submitted Content: By submitting a job description through JD Prep, you represent and warrant that: (i) you have the legal right to submit that content; (ii) doing so does not breach any obligation of confidentiality owed to an employer or third party; and (iii) the content does not infringe any third-party intellectual property right.
Our Use of the Job Description: CentricQ transmits the submitted job description to Anthropic's Claude API solely for the purpose of generating practice questions for your personal use. CentricQ does not retain, archive, or disclose the job description content beyond what is necessary for that generation. The content is not used for any other purpose.
Ownership of Generated Questions: Practice questions generated through JD Prep are proprietary Content of CentricQ and licensed to you for personal use only. You may not copy, reproduce, share, or commercialise JD Prep questions.
Session Records: Your answers to JD Prep questions and the associated AI feedback are stored in your account and governed by the data retention terms in the Privacy Policy.
Free Allowance: The 2 complimentary JD Prep sessions are per account, non-transferable, and do not carry over between calendar months or plan types.
Deduplication: Where a submitted job description is assessed as materially identical to a previously generated session for the same account within the same calendar month, we may return the cached prior session. This is a convenience feature and does not constitute a contractual obligation.
Authority to Bind: If you register a Company Account, you represent and warrant that you are duly authorised to enter into these Terms on behalf of your organisation and that your organisation accepts these Terms.
Candidate Disclosure Obligations: Companies are solely and fully responsible for: (i) informing candidates, before they participate in any assessment, that their responses will be processed by an AI system; (ii) disclosing that their responses will be accessible to authorised personnel within the company; and (iii) obtaining any consent or providing any notice required under applicable employment or data protection law in the relevant jurisdiction.
Data Processing: CentricQ acts as a data processor with respect to candidate personal data collected through Company Accounts. We will process such data only on the documented instructions of the Company. A Data Processing Agreement (DPA) compliant with GDPR Article 28 and UAE PDPL requirements is available on request at privacy@centricq.com.
Non-Discrimination: Company Accounts must not be used to conduct or facilitate unlawful discrimination against candidates on the basis of any characteristic protected under applicable employment law.
Company Billing: Company Accounts may be subject to separate commercial pricing and payment terms communicated at the time of account setup.
The Service is provided for lawful personal interview preparation purposes (or, in the case of a Company Account, for lawful candidate assessment purposes). You agree that you will not:
(a) Use the Service for any purpose that violates applicable UAE federal or emirate-level law, or the laws of any jurisdiction from which you access the Service;
(b) Share, sell, sublicence, lease, or otherwise transfer your account credentials or subscription access to any third party, whether for payment or otherwise;
(c) Systematically copy, scrape, crawl, mine, cache, or redistribute any Content from the Platform, including questions, study guide material, feedback, or certificates, by any means, automated or manual;
(d) Reverse-engineer, decompile, disassemble, or attempt to derive the source code, model weights, or algorithms underlying the Service or any AI system used by the Service;
(e) Upload, post, transmit, or otherwise make available User Content that is defamatory, discriminatory, harassing, violent, obscene, fraudulent, or that infringes any third-party intellectual property, privacy, or other legal right;
(f) Use bots, crawlers, automated scripts, macros, or any other automated means to access, interact with, or extract data from the Platform, without our express prior written consent;
(g) Attempt to circumvent, disable, or interfere with any access control, subscription verification, rate limit, or security feature of the Platform;
(h) Impersonate any person or entity, or falsely represent your identity, affiliation, qualifications, or authority;
(i) Conduct or commission any penetration testing, vulnerability scanning, load testing, or security audit of the Platform without our express prior written authorisation from security@centricq.com.
Violation of this Policy may result in immediate suspension or permanent termination of your account, without prior notice and without refund, and may be reported to relevant law enforcement authorities.
Ownership of Platform Content: All Content on the Platform — including but not limited to question banks, study guides, AI-generated feedback, visual design, user interface, software, algorithms, trademarks, trade names, and branding — is owned by or exclusively licensed to CentricQ and is protected by UAE and international intellectual property laws, including copyright law.
Licence to Use: Subject to your compliance with these Terms and applicable subscription, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Content solely for your personal, non-commercial interview preparation. This licence does not include any right to sublicence, reproduce, distribute, publicly display, or create derivative works from any Content.
User Content — Your Ownership and Grant to Us: You retain ownership of User Content you create. By submitting User Content through the Platform, you grant CentricQ a worldwide, royalty-free, non-exclusive, perpetual licence to: (i) store, host, and process your User Content to deliver the Service; (ii) transmit your User Content to AI Providers to generate feedback; and (iii) use aggregated, irreversibly de-identified derivatives of User Content to train, evaluate, and improve our AI systems and the Platform. We will not publish or otherwise make your identifiable User Content available to any third party or any other user without your prior explicit consent.
Certificates: Completion Certificates are issued solely as evidence of course completion on the CentricQ Platform. They are not accredited qualifications, professional certifications, or regulatory designations, and must not be represented as such to any employer, educational institution, or regulatory body.
Feedback: If you provide us with suggestions, ideas, or feedback relating to the Service ("Feedback"), you assign to us all right, title, and interest in that Feedback, and we may use it for any purpose without restriction or compensation to you.
Nature of AI Feedback: All feedback, scores, evaluations, and suggestions generated through the Platform are produced by large language model AI systems (principally Anthropic's Claude) and are provided for educational and self-improvement purposes only.
No Professional Advice: AI feedback does not constitute and must not be relied upon as professional career advice, employment advice, legal advice, psychological advice, or any other form of regulated professional advice. CentricQ is not a recruitment agency and does not guarantee employment outcomes.
No Employer Representation: We make no representation that our question banks replicate, mirror, or reflect the questions used by any specific employer, industry, or hiring panel. Questions are designed for general preparatory practice.
Inherent AI Limitations: AI-generated content may be inaccurate, incomplete, biased, culturally inappropriate, or outdated. You should exercise independent judgement, critically evaluate all AI feedback, and verify important information from authoritative and current sources.
No Liability for Decisions: CentricQ accepts no liability or responsibility for any employment decision — whether made by you or by any employer — based on your performance on the Platform, the content of AI feedback, or the issuance or contents of a Completion Certificate.
Your use of the Service is governed by our Privacy Policy (centricq.com/privacy), which is incorporated into these Terms by this reference and forms part of the agreement between us.
By using the Service, you acknowledge that User Content — including written answers and audio recordings — will be transmitted to third-party AI Providers for the purpose of generating feedback, as described in the Privacy Policy.
Your data protection rights — including your rights under the UAE PDPL, the GDPR (if you are in the EU/EEA), the UK GDPR, or any other applicable data protection law — are fully described in the Privacy Policy.
The Platform integrates with third-party services, including PayPal (payment processing), Anthropic Claude (AI evaluation), OpenAI Whisper (audio transcription), and cloud infrastructure and analytics providers. Your use of the Platform constitutes your acknowledgement that each such provider operates under its own terms of service and privacy policy, for which CentricQ is not responsible.
We are not liable for any interruption, failure, unavailability, or change in the terms of any third-party service.
Links or references to third-party websites within the Platform are provided for informational convenience only and do not constitute an endorsement by CentricQ of that website, its contents, or its operators.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW — INCLUDING UAE FEDERAL LAW NO. 5 OF 1985 (CIVIL CODE) AS AMENDED, AND THE UAE FEDERAL DECREE-LAW NO. 46 OF 2021 ON ELECTRONIC TRANSACTIONS AND TRUST SERVICES — THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, OR UNINTERRUPTED AVAILABILITY.
We do not warrant that: (a) the Service will be available without interruption, free of errors, or secure from unauthorised access at all times; (b) any AI feedback will be accurate, complete, or free from bias; (c) any question will appear in any actual interview conducted by any employer; or (d) use of the Service will result in any particular employment outcome.
Nothing in this clause excludes or limits any mandatory warranty rights or statutory consumer protections that cannot lawfully be excluded under the law of your jurisdiction.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CENTRICQ AND ITS SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATED ENTITIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL LOSS OR DAMAGE OF ANY KIND WHATSOEVER — INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, REPUTATIONAL DAMAGE, OR COST OF SUBSTITUTE SERVICES — ARISING OUT OF OR IN CONNECTION WITH: (a) YOUR USE OF OR INABILITY TO USE THE SERVICE; (b) ANY AI-GENERATED FEEDBACK, SCORE, OR CONTENT; (c) ANY EMPLOYMENT DECISION OR OUTCOME CONNECTED TO YOUR USE OF THE SERVICE; OR (d) ANY THIRD-PARTY CONDUCT OR SERVICE.
CENTRICQ'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, REGARDLESS OF THE FORM OF ACTION OR BASIS OF CLAIM, SHALL NOT EXCEED THE HIGHER OF: (a) THE TOTAL FEES PAID BY YOU TO CENTRICQ IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (b) USD $100.
The limitations in this clause reflect a fair allocation of risk between the parties and form an essential basis of the bargain between us. Certain jurisdictions do not permit the exclusion or limitation of certain categories of liability, and in such cases the above limitations apply to the fullest extent permitted by the laws of the applicable jurisdiction.
You agree to indemnify, defend (at CentricQ's election), and hold harmless CentricQ, its shareholders, directors, officers, employees, agents, licensors, and successors from and against any and all third-party claims, actions, proceedings, liabilities, losses, damages, costs, and expenses (including reasonable legal fees and court costs) arising out of or in connection with: (a) your use of the Service in breach of these Terms; (b) your User Content; (c) your infringement of any third-party right, including any intellectual property right, confidentiality obligation, or data protection right; or (d) your violation of any applicable law or regulation.
CentricQ reserves the right, at its own expense, to assume exclusive control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with us in asserting any available defences.
CentricQ shall not be in breach of these Terms, nor liable for any delay or failure in performing any obligation, where such delay or failure arises from causes beyond our reasonable control, including but not limited to: acts of God; pandemic or epidemic declared by a competent authority; war; terrorism; civil commotion; government action, regulation, or sanction; failure of internet backbone or telecommunications infrastructure; electrical power failure; or material failure or disruption of a third-party service provider (including AI Providers and payment processors) that is beyond our reasonable ability to anticipate or mitigate.
We will notify you as soon as reasonably practicable of any such event and its anticipated impact on the Service, and will use reasonable endeavours to resume normal operations as quickly as possible.
By CentricQ: We may, with immediate effect and without prior notice, suspend or permanently terminate your account and access to the Service if: (a) you breach any material provision of these Terms; (b) we are required to do so by applicable law, a regulatory authority, or a court order; (c) we have reasonable grounds to believe you are engaged in fraud, money laundering, or other criminal activity; or (d) continuing to provide the Service to you would expose CentricQ to legal or regulatory risk.
By You: You may close your account at any time by accessing your account settings or by contacting support@centricq.com. Voluntary closure does not entitle you to a refund of pre-paid subscription fees, except as provided in Section 7 or as required by applicable consumer law.
Consequences of Termination: Upon any termination, your licence to access the Service ceases immediately. Your personal data will be handled in accordance with our Privacy Policy. The following provisions survive termination indefinitely: Sections 2 (Definitions), 12 (Intellectual Property), 13 (AI Disclaimers), 17 (Limitation of Liability), 18 (Indemnification), 21 (Governing Law), and 22 (General Provisions).
Governing Law: These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, including applicable UAE Federal laws, and where relevant, the laws of the Emirate of Dubai.
Primary Jurisdiction — Dubai Courts: Subject to the consumer law exceptions and the arbitration provision below, the courts of Dubai, UAE shall have exclusive jurisdiction over any dispute arising from or in connection with these Terms or the Service.
International Arbitration Option: As an alternative to the Dubai Courts, and by mutual written agreement of the parties, any dispute may be referred to and finally resolved by arbitration under the Dubai International Arbitration Centre (DIAC) Arbitration Rules, as in force at the date of the arbitration. The seat of arbitration shall be Dubai. The language of arbitration shall be English. The number of arbitrators shall be one, unless the amount in dispute exceeds USD $100,000, in which case three arbitrators shall be appointed.
EU / EEA Consumer Rights: If you are a consumer habitually resident in the European Union or European Economic Area, the mandatory consumer protection laws of your country of habitual residence apply in your favour and supplement (but do not replace) UAE law to the extent required by those mandatory laws. You may bring proceedings before the courts of your country of residence. You may also use the EU Online Dispute Resolution platform: https://ec.europa.eu/odr.
UK Consumer Rights: If you are a consumer ordinarily resident in the United Kingdom, the mandatory consumer protection provisions of English law (including the Consumer Rights Act 2015) apply in your favour.
US Users — Individual Claims Only: Users located in the United States agree that any claim must be brought on an individual basis only. Class action proceedings and class-wide arbitration are waived to the maximum extent permitted by applicable US law.
Pre-Action Requirement: Before initiating any formal legal or arbitral proceedings, both parties agree to attempt to resolve the dispute in good faith by written notice to the other party at legal@centricq.com (for notices to CentricQ). If the dispute is not resolved within 30 days of that notice, either party may proceed with formal proceedings.
Entire Agreement: These Terms, together with the Privacy Policy and any additional terms applicable to specific features (including the Company DPA where applicable), constitute the entire agreement between the parties with respect to the Service and supersede all prior agreements, representations, understandings, and negotiations on the same subject matter.
Severability: If any provision of these Terms is determined by a court or arbitral tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable. The remaining provisions shall continue in full force and effect.
No Waiver: Any failure by CentricQ to enforce a right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver is effective only if given in writing and signed by an authorised representative of CentricQ.
Assignment: You may not assign, delegate, or transfer any of your rights or obligations under these Terms to any third party without our prior written consent. We may freely assign our rights and obligations, in whole or in part, to any successor entity in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of our assets, provided that the assignee assumes these Terms.
Legal Notices: Formal legal notices to CentricQ must be sent by email to legal@centricq.com. Notices to you will be delivered to your registered email address, and shall be deemed received 24 hours after sending.
Language: These Terms are prepared in English. Any translation of these Terms into another language is provided for convenience only and has no legal effect. In the event of any conflict or inconsistency between the English version and any translation, the English version shall prevail.
No Third-Party Rights: These Terms do not create any rights in favour of any third party. Only you and CentricQ (and our permitted successors and assigns) have rights under these Terms.
Relationship of Parties: Nothing in these Terms creates any partnership, joint venture, agency, franchise, employment, or trust relationship between the parties. You have no authority to act for or bind CentricQ.
